Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of WrenchFlow (the “Service”), provided by Bay Three Software Inc. (“Bay Three”, “we”, “us”), a corporation based in Guelph, Ontario, Canada. By creating an account or using the Service, you agree to these Terms.

1. The Service

WrenchFlow is a software-as-a-service platform for independent auto repair shops, providing scheduling, digital inspections, customer communication, invoicing, and related features. We may change, add, or remove features over time.

2. Accounts

You must provide accurate registration information and keep your account credentials secure. You are responsible for activity that occurs under your account. You must be authorized to bind your business to these Terms.

3. Subscriptions and billing

  • The Service is offered as a paid subscription. Pricing and billing frequency are set out in your order or as quoted to you.
  • Fees are charged in advance for each billing period and are non-refundable except as described in our Refund Policy.
  • Subscriptions renew automatically at the end of each billing period until cancelled in accordance with our Cancelation Policy.
  • You authorize us and our payment processor (Stripe) to charge your payment method for applicable fees and taxes.
  • We may change pricing on at least 30 days’ notice; price changes take effect at your next renewal.

4. Your data

You retain ownership of the data you and your customers submit to the Service (“Customer Data”). You grant Bay Three a limited license to host, process, and transmit Customer Data solely to operate and improve the Service. Our handling of personal information is described in our Privacy Policy.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or harmful purposes;
  • Send spam, phishing, or unsolicited communications through the Service;
  • Attempt to circumvent, disable, or reverse-engineer the Service;
  • Resell or sublicense the Service without our written permission;
  • Upload malicious code or content that infringes third-party rights.

6. Service availability

We work to keep the Service available and reliable, but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or reasons outside our control. During early access, no formal service-level agreement applies unless separately agreed in writing.

7. Third-party services

The Service integrates with third-party providers including Stripe (payments), Twilio (SMS, email, and voice) cloud hosting services. Your use of those features is subject to the third party’s own terms.

8. Termination

You may cancel your subscription at any time as described in our Cancelation Policy. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk for us or other users. On termination, your right to use the Service ends, and we will make Customer Data available for export for a reasonable period as described in the Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Bay Three disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Bay Three’s aggregate liability under these Terms will not exceed the fees you paid for the Service in the 12 months preceding the claim. Bay Three is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts located in Ontario have exclusive jurisdiction over any dispute arising from these Terms or the Service.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give notice (for example, by email or in-app notification) before it takes effect. Your continued use of the Service after the effective date means you accept the updated Terms.
